Terms of Service

These terms set out the basis on which Sylk Tech Ltd provides its consultancy and build services. They apply to every engagement unless we agree otherwise in writing.
Scope of services
We provide AI consultancy, system design and build services as described in a written proposal or statement of work agreed with you. The proposal defines the deliverables, timeline and price for that engagement. Anything outside that scope is treated as a separate piece of work.
Fixed-price builds & retainers
Builds are quoted at a fixed price against an agreed scope. Material changes to that scope may change the price and timeline, which we will confirm with you before proceeding.
Retainers run on a rolling monthly basis and may be cancelled by either party with 30 days’ written notice. Fees are payable in advance of each retainer period.
Ownership of deliverables
On full payment, ownership of the bespoke deliverables we create for you under an engagement passes to you. We retain ownership of our pre-existing tools, libraries, frameworks and general know-how, and grant you a perpetual licence to use them as embedded in your deliverables.
Third-party and open-source components remain subject to their own licences, which we will identify where relevant.
Payment terms
Unless stated otherwise in the proposal, build engagements are invoiced 50% on commencement and 50% on delivery. Invoices are payable within 14 days. All prices are in pounds sterling (£) and exclusive of VAT where applicable. Late payment may incur statutory interest and may pause ongoing work.
Confidentiality
Each party will keep the other’s confidential information private and use it only to perform the engagement. This obligation survives the end of the engagement.
Liability
We deliver our services with reasonable care and skill. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything that cannot be limited by law. Subject to that, our total liability for any engagement is capped at the fees paid for that engagement, and we are not liable for indirect or consequential losses, including lost profits or data.
Governing law
These terms and any dispute arising from them are governed by the law of Scotland, and the courts of Scotland have exclusive jurisdiction.
